End-User License Agreement for Hawkes Learning Software

The effective date of this version of this End-User License Agreement (“EULA”) is August 14, 2026. This version replaces and supersedes all prior end-user license agreements for the SERVICES.

This Hawkes Learning End-User License Agreement “EULA” is a legal agreement between you and Hawkes Learning or its assigns, known from here on as “Hawkes” for the Hawkes learning products and services you access, which include the web-based learning platform, the course management system, the Hawkes eBook reader application, and any associated access code or license number and may include associated media, documentation, and online content, known from here on as the “SERVICES”. By creating an account, activating an access code, downloading the eBook reader application, or otherwise using the SERVICES, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not access or use the SERVICES.

License to Use the Services

U.S. copyright laws and international copyright treaties protect the SERVICES and all content delivered through them. The SERVICES are licensed for access, not sold, and are licensed to a single, uniquely identified individual.

  1. Grant of License
    Subject to your compliance with this EULA, Hawkes grants you a limited, personal, non-exclusive, non-transferable right to access and use the SERVICES for your own educational use. The SERVICES are hosted by Hawkes and accessed online; no installation is required except for the Hawkes eBook reader application, which you may install on devices you personally own or control. Except where the SERVICES expressly provide a download or print function, you may not download, print, copy, share, publish, or otherwise redistribute the SERVICES or any Hawkes content. Content made available through the Hawkes eBook reader application may be stored on your device solely to enable your own use of that application during your access term. You agree to register for an account and to redeem a unique license number, which generates your personal a unique Access Code or institutional entitlement before using the SERVICES. Your account is created using your personal information together with the license number or institutional entitlement purchased from Hawkes, your institution, or an authorized bookstore or reseller. License numbers, Access Codes, and accounts are personal to you, may be redeemed only once, and may not be shared, resold, or transferred.
  2. Rights and Limitations
    You may not reverse engineer, decompile, or disassemble the SERVICES, or attempt to access them by any means other than the interfaces Hawkes provides. You may not scrape, crawl, bulk-download, or use automated tools to extract content, and you may not circumvent or interfere with any security, authentication, or usage-tracking feature. You may not use the SERVICES or any Hawkes content to train, fine-tune, or evaluate any machine learning or artificial intelligence model. The SERVICES are licensed as a single product; their component parts may not be separated for use. You may not rent, lease, lend, resell, or share access to the SERVICES with any other person.
  3. Personal Usage Information and Disclosure
    Hawkes gathers and uses information about your use of the SERVICES for business and educational purposes, and may disclose that information to your institution and to school officials or instructors with a legitimate educational interest. Student education records will not be disclosed to any other party except as permitted by FERPA (34 C.F.R. Part 99). When processing student data on behalf of an institution, Hawkes acts as a school official under FERPA. Hawkes’ broader collection and use of personal information is governed by the separate Hawkes Learning Privacy Policy, which is a distinct agreement and is not incorporated into this EULA.
  4. Support Services
    Hawkes may provide you with support services related to the SERVICES (“Support”). Any updates, supplemental code, or additional features provided as part of the Support are considered part of the SERVICES and subject to the terms and conditions of this EULA. With respect to technical information you provide to Hawkes as part of the Support, Hawkes may use such information for its business purposes, including product support and development, and may store and process this data in its hosted environments and those of its cloud service providers. Hawkes will not disclose this personal information to any third party or identify you, except to service providers acting on Hawkes’ behalf as described in the Privacy Policy. Hawkes may store account credentials, Access Codes, and student education records; these materials will not be disclosed to any party except as permitted by FERPA (34 C.F.R. Part 99).
  5. Account and License Transfer
    This agreement and the limited license it grants are non-transferable. Access is valid only for the individual for whom the account and Access Code were created, and account credentials may not be shared, sold, or transferred to any other person.
  6. Termination
    Your rights under this EULA terminate when your access term ends or when your account is closed. Without prejudice to any other rights, Hawkes may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, Hawkes will disable your access to the SERVICES, and you must cease all use of the SERVICES and delete any downloaded content and eBook reader files in your possession.
  7. Updates and Changes to the Services
    Hawkes updates the SERVICES on an ongoing basis and may add, modify, or remove features, content, and functionality. Because the SERVICES are hosted, updates are applied automatically. Hawkes may also revise this EULA from time to time; the current version and its effective date will be posted on the Hawkes Learning website, and your continued use of the SERVICES after the effective date of a revised version constitutes acceptance of it. Your continued use of the updated SERVICES is governed by this EULA.
  8. Copyright
    Hawkes or its assigns own all title, including copyrights, in and to the SERVICES, all content delivered through them, and any copies thereof. All rights not expressly granted are reserved by Hawkes.
  9. No Warranties.
    Hawkes expressly disclaims any warranty for the SERVICES. The SERVICES and related documentation are provided “as is” and “as available.” Hawkes does not warrant that the SERVICES will be uninterrupted, error free, or free from scheduled or unscheduled downtime. No warranty or condition of any kind, expressed or implied is made by Hawkes. The risks associated with the use and performance of the SERVICES are the responsibility of the end user (you).
  10. Limitation of Liability
    In no event shall Hawkes or its third party suppliers, be liable for any damages whatsoever (including, without limitation, damages for loss of data, performance interruption, or any other loss) arising out of the use of or inability to use the SERVICES, including any interruption, suspension, or loss of access. Because some states and jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. Hawkes is not responsible for the availability, content, or accessibility of third-party sites, integrations, or services accessed through the SERVICES, including learning management system integrations.

Access to the SERVICES is granted either for the life of the product or for a fixed subscription or access term, depending on the sales model selected by you or by your institution. The applicable term is the one identified at the time of purchase or in your institution’s agreement with Hawkes. Hawkes may retire a product or discontinue hosted access at any time, at which point the license to the SERVICES terminates. The length and terms of access are subject to change at the discretion of Hawkes, and Hawkes will use reasonable efforts to provide advance notice of any planned retirement.

This EULA is governed by the laws of the State of South Carolina, without regard to its conflict of laws provisions.
