Our license agreement states that each student must purchase a copy of the software if they are enrolled in the listed course(s) that have adopted our materials.

Sample of the School License Agreement.

This software license ("Agreement") is entered into as of the date of the last signature hereto, by and between: Quant Systems, Inc. ("licensor"), a South Carolina company, and Sample College ("licensee"). Whereas, licensor owns the rights to Hawkes Learning Systems: Intermediate Algebra (HLS: IMA) software and its related documentation; and whereas, licensee wishes to acquire certain rights to such software and related documentation. Now, therefore, in consideration of the mutual covenants contained herein, the parties agree as follows: 

1. HLS: IMA software will be a required component of the course materials for the courses listed here:

2. Grant of License: 

    A) Licensor will grant a temporary, non-exclusive and non-transferable, license for HLS: IMA software to licensee. Licensee agrees to restrict usage of HLS: IMA to those students who have received a personal authorization code from Quant. Personal authorization codes are non-transferable and are limited to the student for which they are created. 

    B) A limited license number is located on the package that students purchase (unless authorization code is purchased online). This license number entitles a student to obtain a personal authorization code. 

    C) Faculty may not disassemble, translate, revise, convert, reverse engineer, or conspire to help anyone reverse engineer HLS: IMA. Furthermore, faculty may not rent, lease, license, sell, resell, loan, transfer, or distribute HLS: IMA. 

    D) This product may be installed on any number of campus or branch campus servers and/or workstations. 

3. This agreement will automatically terminate ninety days after the end of the most recent academic period listed in section 1, unless HLS: IMA is continued to be used as a required component of the course. Licensee must discontinue using and eliminate all copies of HLS: IMA upon termination of this agreement.

4. HLS: IMA is the valuable intellectual property of Quant Systems, Inc. therefore licensee acknowledges that violation of this agreement would cause Quant Systems, Inc. irreparable damage. Should it be proven in a court of law that licensee has violated this agreement, licensee agrees pay all legal fees, actual and punitive damages, and penalties that licensor may incur in the enforcement of this agreement.
